25/2014 A significant contract with the National Health Fund

The Management Board of ENEL-MED S.A. (“Company”) hereby announces that on 05 June 2014, the Company signed an agreement under which the rights and obligations under a contract for the provision of health care services described as outpatient specialist care – cost-intensive outpatient diagnostic services, entered into by the Company with the National Health Fund (Wielkopolska Province Branch), have been assigned to the Company’s subsidiary Centrum Medyczne Diagnostyka Sp. z o.o.

As a result of the agreement, the value of the contracts that  the above subsidiary, Centrum Medyczne Diagnostyka Sp. z o.o., has entered into with the National Health Fund over the last twelve months amounts to PLN 4,605,379.20, which amount is in excess of 10% of the Company’s equity.

The above value of the contracts between Centrum Medyczne Diagnostyka Sp. z o.o. and the National Health Fund  is the result of the Company transferring, as a contribution in kind, to the Centrum Medyczne Diagnostyka Sp. z o.o. on as of the end of 30 April 2014, an organised part of the Company’s enterprise comprising a collection of tangible and intangible assets for the provision of diagnostic imaging services as at the following locations: Bielany Diagnostic Testing Department in Warsaw; Magnetic Resonance Laboratory in Konin; Magnetic Resonance Laboratory in Mielec; Computer Tomography Laboratory in Poznań; Magnetic Resonance Laboratory in Łomża; Computer Tomography Laboratory in Wołomin; and Diagnostic Laboratory in Lublin.

The largest contract entered into between the subsidiary Centrum Medyczne Diagnostyka Sp. z o.o.  and the National Health Fund in the period in question was an amendment to a contract for the provision of health care services described as outpatient specialist care – cost-intensive outpatient diagnostic services. Under the amendment, the National Health Fund (Mazovian Province Branch) agreed to the assignment of the rights and obligations under that the contract between the National Health Fund (Mazovian Province Branch) and the Company to Centrum Medyczne Diagnostyka Sp. z o.o. The amendment provides for the provision of health care services described as outpatient specialist care at the Bielany Diagnostic Testing Department in Warsaw (computer tomography and magnetic resonance) and the Computer Tomography Laboratory in Wołomin (computer tomography testing). The value of the amendment in the 01 May – 31 December 2014 accounting period is PLN 1,537,452.
