44/2014 Conclusion of an agreement for sale of shares in Centrum Medyczne Diagnostyka sp. z o.o.

Management Board of Centrum Medyczne ENEL-MED Spółka Akcyjna (hereinafter referred to as: the Company) hereby informs that on 30 June 2014 the Company, a subsidiary company under the business name Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o. and LUX MED Diagnostyka Sp. z o.o. with registered office in Warsaw concluded an agreement for sale of shares by Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o. for the benefit of LUX MED Diagnostyka Sp. z o.o. The agreement concerns the sale of 100% of shares in the initial capital of Centrum Medyczne Diagnostyka Sp. z o.o. entitling to exercise 100% of votes at the Shareholders Meeting of Centrum Medyczne Diagnostyka Sp. z o.o. The conclusion of the aforementioned agreement took place in performance of obligations specified in the investment contract between the Company, Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o. and LUX MED Diagnostyka Sp. z o.o. the conclusion of which the Company informed of in the Current Report No. 31/2014.

The sale price for 100% of shares in Centrum Medyczne Diagnostyka Sp. z o.o. was stipulated to be the amount of PLN 52.519.949,00 (fifty two million, five hundred nineteen thousand, nine hundred forty nine).

The sale of 100% of shares in the initial capital of Centrum Medyczne Diagnostyka Sp. z o.o. is of short-term equity investment nature and the financial means obtained from the sale of shares shall be used for investment activities.

There are no personal or capital links by and between the Company and LUX MED Diagnostyka Sp. z o.o. as well as by and between Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o. and LUX MED Diagnostyka Sp. z o.o.

As of the publication date of this Current Report, the Company and Centrum Medyczne Diagnostyka Obrazowa sp. z o.o. are bound by the following equity links: the Company holds 100% of shares in the initial capital of Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o. and 100% of votes at the Shareholders Meeting of this company. Furthermore, there are personal connections: Adam Stanisław Rozwadowski is both the President of the Management Board of the Company and the President of the Management Board of Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o., whilst Jacek Jakub Rozwadowski is both the Vice-President of the Company and the Vice-President of the Management Board of Centrum Medyczne Diagnostyka Obrazowa Sp. z o.o.
