22/2013 Conclusion of a contract by Centrum Medyczne ENEL-MED. S.A.’s subsidiary

The Management Board of Centrum Medyczne ENEL-MED S.A. announces that on 10 June 2013 a contract was signed between its subsidiary Enelbud Sp. z o.o. and POL-K ATALIAN Sp. z o.o.
The subject matter of the contract is the performance (by Enelbud – for POL-K ATALLIAN) of works involving the alteration of part of the rooms on the seventh floor of the Atrium Promenada Shopping Centre located at Ostrobramska 75C in Warsaw which shall be used by ENEL-MED outpatient clinics.
The works will begin on the date of delivery of the building site and will be completed on 21 December 2013.
The fee for proper performance of the contract (plus the correction of any defects) is fixed and amounts to PLN 6,912,780.67 net. An advance of 10% of the fixed fee shall be paid to the contractor (Enelbud) within 30 days from the date of handling over of the site as confirmed in writing. Each invoice will be reduced by a guarantee deposit of 10% on the net amount of the invoice as security for the POL-K ATALIAN claims that may arise in the future, particularly contractual or statutory warranty claims. At Enelbud’s written request made not earlier than after the final acceptance of the works, the guarantee deposit may, with a POL-K ATALIAN’s written consent, be replaced with a bank guarantee. The bank guarantee will be granted for the period of three years.
Liquidated damages:
The contractor is required to pay liquidated damages to the client as follows:
a) for delayed performance of the contract by the contractor, for reasons for which the contractor or its subcontractors is/are liable:
– PLN 2,000 for each day of such a delay during the initial 30 days of the delay,
– PLN 7,000 for each day of such a delay after the first 30 days of the delay.
b) for delay in correcting defects discovered at the time of acceptance of the works and/or during the contractual or statutory warranty periods for reasons for which the contractor or its subcontractors is/are liable; 0.2% of the fixed fee for each item affected by the defect concerned, for each calendar day of delay starting from the deadline set for the correction of the defect;
c) for withdrawal from the contract for reasons for which the contractor or its subcontractors is/are liable: 15% of the fixed fee.
The client is required to pay liquidated damages to the contractor equal to 15% of the fixed fee for the contractor’s withdrawal from the contract for reasons for which the Client is liable.
The total liquidated damages charged by either party to the contract from the other party may not exceed 15% of the fixed fee.
The contract is considered significant as its value exceeds 10% of the company’s equity.
