40/2013 Conclusion of a significant agreement – a supplement to Current Report No. 35/2013

The Management Board of Centrum Medyczne ENEL-MED S.A. provides a supplement to Current Report No. 35/2013, in which it informed of conclusion of an annex to the credit agreement with Bank Millennium S.A. (“Bank”).

Up to the amount of PLN 16.320.400, the credit is secured by a mortgage on the property located in Warszawa at ul. Gilarska 86C, owned by Centrum Medyczne ENEL-MED S.A., including the assignment of rights resulting from the insurance agreement, unconfirmed assignment of receivables from the contracts concluded with the National Health Fund, and a civil code guarantee made by Centrum Medyczne Diagnostyka Sp. z o.o., subsidiary of the Issuer, which expires upon the sale of shares by the Borrower, as the Company informed in its Current Report No. 35/2013.

Centrum Medyczne Diagnostyka Sp. z o.o., subsidiary of the Issuer, gave a guarantee to the Bank for the liabilities of Centrum Medyczne ENEL-MED S.A. in the amount of PLN 9.600.000. If the shares in Centrum Medyczne Diagnostyka Sp. z o.o. are sold, the guarantee automatically expires.

Centrum Medyczne Diagnostyka Sp. z o.o. is a subsidiary of Centrum Medyczne ENEL-MED S.A. The company was established in the third quarter of 2013, and the Issuer took up 50 shares, i.e. is 100% of this company’s share capital.
