12/2015 Appointment of members of the Supervisory Board for the next term of office
The Management Board of Centrum Medyczne ENEL-MED Spółka Akcyjna (hereinafter: “Company”) would like to inform you that mandates of the following members of the Supervisory Board expired as at the date of holding the Annual General Meeting of Shareholders approving the financial statements for the 2014 financial year, i.e. as at 20 May 2015:
· Anna Maria Rozwadowska,
· Janusz Ryszard Jakubowski,
· Anna Piszcz,
· Zbigniew Wojciech Okoński,
· Adam Augustyn Ciuhak.
On 20 May 2015, the Annual General Meeting of Shareholders of the Company decided to appoint the following persons to the Supervisory Board as of 21 May 2015:
· Anna Maria Rozwadowska,
· Janusz Ryszard Jakubowski,
· Anna Piszcz,
· Zbigniew Wojciech Okoński,
· Adam Augustyn Ciuhak.
In accordance with § 15 section 4 of the Company’s Statute, members of the Supervisory Board for a new term of office were appointed for a 3-year joint term of office, and their commissions shall expire as at the day of holding the Annual General Meeting of Shareholders approving the financial statements for 2017.
Anna Maria Rozwadowska – graduate of the Faculty of Electronics of the University of Technology in Gdańsk. She has been associated with the Company since the very beginning of its operations. She was a Vice President, Member of the Management Board and a Chairperson of the Supervisory Board (in charge of internal audit). She developed the Dentistry Centre of ENEL-MED. In 1994, she established the Postgraduate Training Centre for Dentists, educating specialists from all over the country. When managing the Operations Department, she was responsible for ensuring the quality and financial effectiveness of the functioning of the Company’s branches, quality of the patient service and coordination of newly opened branches.
Currently, she is a Member of the Management Board of Centrum Medyczne ENEL-MED Sp. z o.o.
Anna Maria Rozwadowska has declared that activities outside Centrum Medyczne ENEL-MED S.A. are not competitive to the business of the Company, and that she does not participate in any competitive company as a partner in a civil partnership, partnership or as a member of authorities of a capital company, and is not entered into the Register of Insolvent Debtors kept based on the Act on the National Court Register.
Janusz Ryszard Jakubowski – graduate of the Warsaw University of Technology, with the degree in civil engineering. Initially associated with ENEL-MED in the years 1991-1993, where – as the Investment Director – he was responsible for erecting the first outpatient clinic and hospital of ENEL-MED in Warsaw. Employed again in 2005 on the position of the Investment Department Director, he is responsible for planning, implementation and ongoing oversight of construction projects at the Company. Previously, he worked at Beton-Stal as the Construction Site Engineer, and then the Coordinator of the General Contractor of “Kawęczyn” CHP. In the years 1989-1991, he was the construction entrepreneur. For one year, he was the Supervision Inspector on behalf of EBRD with respect to the implementation of the Business Centre Wola project. For the next 8 years he was associated with SKANSKA Polska, including on positions of the Development Director and the Executive Director. He was responsible for the construction of: Złote Tarasy, Atrium office building complex in Warsaw and Westin Hotel. In the years 2002-2004, he was the Development Director at the ROBYG development company. In the years 2004-2005, he was the General Director at RD bud, a branch office of Rabot Dutilleul.
At present, he is a member of management boards of Bonus Vitae Sp. z o.o., Winnice Nadwiślańskie Sp. z o.o. and the Board of PRO ECONOMICUS Foundation.
Janusz Ryszard Jakubowski has declared that activities outside Centrum Medyczne ENEL-MED S.A. are not competitive to the business of the Company, and that he does not participate in any competitive company as a partner in a civil partnership, partnership or as a member of authorities of a capital company, and is not entered into the Register of Insolvent Debtors kept based on the Act on the National Court Register.
Anna Piszcz – post-Ph.D. degree in legal science since 2013. An employee of the Faculty of Law at the University of Białystok since 2006, initially as an assistant in the Department of Administrative Law and since 2007 as an Assistant Professor in the Department of Public Economic Law. She is a legal advisor, and from 2010 to 2012 she was a partner at Kancelaria Radców Prawnych Bieluk i Partnerzy. Since 2014, she is a member of the Advisory Board to the President of the Office for Competition and Consumer Protection.
Anna Piszcz has declared that activities outside Centrum Medyczne ENEL-MED S.A. are not competitive to the business of the Company, and that she does not participate in any competitive company as a partner in a civil partnership, partnership or as a member of authorities of a capital company, and is not entered into the Register of Insolvent Debtors kept based on the Act on the National Court Register.
Zbigniew Wojciech Okoński – President of the Management Board of ROBYG S.A., graduate of the faculties of economy at the University of Gdańsk and Agricultural Academy in Szczecin. In 1996, he completed the Global Leadership Programme at the Faculty of Business Administration at the University of Michigan (USA). He was the Trade Coordination Director and a Member of the Management Board in Elektrim S.A., Chairman of the Supervisory Board of BRE Bank S.A. and the State Agency for Foreign Investments. Since 2007, he is the President of the Management Board of ROBYG S.A., the developer specialising in residential building, listed on the Warsaw Stock Exchange since November 2010. In the years 1998-2007, he was a Vice President of the Management Board of Prokom Investments, where he developed the development segment of the group from scratch. In the years 1990-1995, he was involved in political activities. He was the Minister of National Defence, and previously, the Undersecretary of State at the Ministry of Foreign Economic Cooperation. From June 2011 to June 2013, he was the President of the Management Board of the Polish Association of Development Companies. Currently, he is the Honourable President of the Polish Association of Development Companies. Additionally, he is a member of the Supervisory Board of ENAMOR Sp. z o.o., with its registered office in Gdynia.
Zbigniew Wojciech Okoński has declared that activities outside Centrum Medyczne ENEL-MED S.A. are not competitive to the business of the Company, and that he does not participate in any competitive company as a partner in a civil partnership, partnership or as a member of authorities of a capital company, and is not entered into the Register of Insolvent Debtors kept based on the Act on the National Court Register.
Adam Augustyn Ciuhak – graduate of the Faculty of Economics and Production Organisation (specialisation: Economics and Industry Organisation) at the Warsaw School of Economics. Tax advisor, President of Management Boards at: Grupa Strategia Sp. z o.o., Strategia Audit Sp. z o.o., Strategia Tax Sp. z o.o., Strategia Finance Sp. z o.o., Strategia Consulting Sp. z o.o., Strategia dla Polski Foundation. He stated his career in 1993 at BDO Polska Sp. z o.o. as the Senior Assistant Auditor that he held until 1998. In the years 1998-2000, he was the Finance Director at Animex S.A. Group.
