21/2011 Conclusion of agreements for the provision of health care services and lease of premises in the Bielański Hospital in Warszawa

The Management Board of Centrum Medyczne ENEL-MED S.A. (the Company) announces that on 2 September 2011 two agreements with the Independent Public Health Care Institution, Jerzy Popiełuszko Bielański Hospital in Warszawa (the Hospital) were concluded: agreement for the provision of health care services and agreement for the lease of premises for the performance of the above services.

The agreement for the provision of health care services in the field of imaging diagnostic includes magnetic resonance, classic radiology and angiography.

The agreement was concluded for the period from 3 September 2011 to 28 November 2012. The estimated value of the agreement during its duration is PLN 3.250.000 net.

The Hospital is entitled to deduct a contractual penalty in the amount of PLN 500,00 per each day of delay in the implementation of the examinations. In each case of ceasing to perform any of the health care services covered by this agreement for a period exceeding 30 days, the Issuer is obliged to pay a contractual penalty amounting to PLN 500.000. The above provisions do not apply to situations in which the inability to provide the services is the result of a failure of the water, sewage, gas, central heating or electrical systems caused by an activity of a third party or force majeure. The Hospital is entitled to claim a contractual penalty in the amount of PLN 30.000 in the case of breach of the obligations ensuing under the agreement. Furthermore, in case of withdrawal from the agreement by the Issuer, the Hospital is entitled to demand a contractual penalty in the amount of 30% of the annual value of the object of this agreement.

The other separate agreement concluded with the Hospital on 2 September 2011 concerns the lease of premises for the performance of the health care services. The object of the lease are the premises located in Warszawa at ul. Cegłowska 80 in the building of the Hospital, which will be used to conduct medical activity in the field of diagnostic imaging: X-ray, magnetic resonance and angiography.

The agreement was concluded for the period from 3 September 2011 to 28 November 2012 and its estimated value amounts to PLN 498.188,18 net.

The conclusion of these agreements begins the seventh year of cooperation between Centrum Medyczne ENEL-MED and the Bielański Hospital in Warszawa.
