21/2015 Conclusion of a space lease agreement for the needs of a clinic in Warsaw

The Management Board of Centrum Medyczne ENEL-MED Spółka Akcyjna (hereinafter referred to as: the Company) hereby informs that on 29 September 2015 IREEF – Crown Square Warsaw ProCo spółka z ograniczoną odpowiedzialnością (limited liability company) in Warsaw and ENEL INVEST spółka z ograniczoną odpowiedzialnością (limited liability company) with registered office in Warsaw (the subsidiary of the Company) as the Lessee and the Company as the Sub-lessee concluded an agreement for the lease of space for the needs of a clinic that will be run by the Company.

The clinic is going to be located in Warsaw at ul. Przyokopowa 31.

The lease term is 10 years and commences on the day following the expiry of a 6-week period since the date of the effective delivery of the leased premises where the delivery of the leased premises shall take place not later than on 28 July 2016 after the Lessor performs finishing works inside the premises and if required – after reception of a final occupancy permit or after the statutory deadline counted from the submission of the works completion concerning finishing works by the Lessor has expired.

The total value of rental fees (defined in the agreement in EUR) and service charges (fixed in PLN) within 10 years of the agreement term will reach approximately PLN 10,565,374.71 (ten million five hundred sixty five thousand three hundred seventy four and seventy one groszy) net. The rent shall be paid in PLN and the amount shall be the PLN equivalent of the amounts expressed in EUR converted at the average exchange rate of the National Bank of Poland on the working day preceding the day of invoice issuance. Rents shall be subject to adjustment whilst the first adjustment shall take place on the day falling on the first anniversary of the delivery of the leased premises whilst the consecutive adjustments shall be on each anniversary of that date.
