23/2015 Subsidiary entering into an agreement for the purchase of shares in a company running a long-term care facility for the elderly persons

The Management Board of Centrum Medyczne ENEL-MED S.A. (hereinafter: the “Company” or “Issuer”) announces that in relation to the implementation of the company’s strategy for the years 2014-2016, which assumes, among others, a development of the area of long-term care for the elderly persons, Enel Invest spółka z ograniczoną odpowiedzialnością (a company in which the Issuer holds 100% of shares) entered on 09 December 2015 into an agreement on the acquisition by Enel Invest sp. z o.o. of 1,092 shares in the share capital of the company under the business name JOVIMED Ośrodek Opiekuńczo-Rehabilitacyjny spółka z ograniczoną odpowiedzialnością with its registered seat in Ksawerów, representing 65% of the shares of the company.

The main business activity of the company under the business name JOVIMED Ośrodek Opiekuńczo-Rehabilitacyjny sp. z o.o. involves activities with regard to:

1)    running a facility that provides twenty-four-hour care for people with disabilities, the chronically ill, or elderly persons;
2)    running a facility providing health services in the field of medical rehabilitation on an outpatient basis.
The total selling price of the shares has been agreed to amount to PLN 882,336.00 (i.e. PLN 808.00 per share).

The ownership right of the shares will pass to Enel Invest sp. z o.o. as from 01 January 2016, provided that the sellers receive the selling price within two (2) working days from the date of entering into the agreement on the sale of shares.
