4/2013 Conclusion of a significant agreement

The Management Board of Centrum Medyczne ENEL-MED S.A. announces that, on 30 January 2013, an agreement was signed with Proscan Sp. z o.o.

The subject matter of the agreement is provision of cleaning services in facilities of Centrum Medyczne ENEL-MED S.A.

The agreement was concluded for an indefinite period and enters into force upon its signature. The value of the agreement during the period of 5 years amounts to PLN 5.884.278,00 net.

Contractual penalties related to the agreement:

1) In the case of improper performance of the service confirmed by a protocol signed by both Parties, the Principal has the right to impose a contractual penalty on the Agent in the amount of 10% of the monthly remuneration for the facility where the irregularities have been observed for each case of irregularity.

2) In the case of breach of the obligation to maintain confidentiality, the Principal has the right to impose a contractual penalty equal to 10% of the monthly remuneration for the facility for each violation.

The agreement is treated as a significant one since its value exceeds 10% of the Company’s equity.
