50/2014 Conclusion of a master agreement

The Board of ENEL-MED S.A. (the „Company”) hereby informs that on 11 August 2014 an agreement between the Company and Property Experts sp. z o.o. [Ltd.] (a company belonging to the same Group as Proscan sp. z o.o., to which the Issuer had previously signed an agreement in terms referred to below) was concluded. The signed agreement meant that the value of contracts entered into between the Company and Property Experts sp. z o.o. in the last 12 months amounted to 9,627,346.20 PLN net and thus exceeded the threshold of 10% of the equity of the Issuer.

In the reporting period, the largest contract entered into by the Company with Property Experts sp. o.o. is a contract to perform services for maintenance and daily service in facilities of Centrum Medyczne ENEL-MED S.A., concluded on 11 August 11 2014.

Liquidated damages reserved in the contract:

a) in the case of unfair implementation services in the performance of activities, which will be confirmed by the protocol signed by both contracting parties, the Company has the right to impose on the Principal a penalty of 10% of monthly salary for each case of irregularity in the facility where irregularities have occurred;

b) in a case of a breach of the duty of confidentiality, the Company has the right to impose a penalty equal to 10% of monthly salary for each violation of the object.
