9/2015 Appointment of the President and Vice President of the Management Board of the Company

The Management Board of Centrum Medyczne ENEL-MED Spółka Akcyjna (hereinafter: Company) would like to hereby inform you that on 18 May 2015, by resolution no. 06/05/2015, the Supervisory Board appointed Adam Stanisław Rozwadowski a Member of the Management Board of the Company and the President of the Management Board of the Company, and by resolution no. 07/05/5015, it appointed Jacek Jakub Rozwadowski a Member of the Management Board of the Company and the Vice President of the Management Board. Both resolutions will come into force at the beginning of the day on 21 May 2015.

In accordance with § 12 section 2 of the Company’s Statute, Members of the Management Board for a new term of office were appointed for a 3-year joint term of office, and their commissions shall expire on the day of the Annual General Meeting of Shareholders approving the financial statements for 2017.

Adam Stanisław Rozwadowski has been the President of the Management Board since 2006. He has a university diploma and is a graduate of Gdańsk University of Technology, Faculty of Electrical Engineering, with the title of the Master of Science in electrical engineering. In the years 1972-1985, he worked in STOEN as the manager of the general technical department, while in 1985–1995 he was the director of the Office of Design and Implementation of Investments. Since 1993, he has been managing Centrum Medyczne ENEL-MED, first as the General Director and later as the President of the Management Board. In the years 2013-2014, he was a member of the Management board of Centrum Medyczne Diagnostyka Spółka z ograniczoną odpowiedzialnością, with the registered office in Warsaw.

Adam Stanisław Rozwadowski is a member of Management Boards of the following subsidiaries of Centrum Medyczne ENEL-MED S.A.: Enelbud Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (since 2006 r.) and Enel Invest Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (since 2013).

In addition, Adam Stanisław Rozwadowski fulfils a function in the Management Board of “Centrum Medyczne ENEL-MED” Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (since 2005) and in the Polish Union of Private Healthcare Employers [Związek Pracodawców Medycyny Prywatnej] (since 2008).

Adam Stanisław Rozwadowski is also a member of the Supervisory Board of Medicum Plus Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (since 2014).

Adam Stanisław Rozwadowski has declared that activities outside Centrum Medyczne ENEL-MED S.A. are not competitive to the business of the Company, and that he does not participate in any competitive company as a partner in a civil partnership, partnership or as a member of authorities of a capital company, and is not entered into the Register of Insolvent Debtors kept based on the Act on the National Court Register.

Jacek Jakub Rozwadowski has been performing the duties of the Vice President of the Management Board since 2009. He has been associated with the Company since 2002 and since 2008 he has held the position of the Managing Director. He has a university diploma – he graduated from the faculty of marketing of the School of Business and Administration in Warsaw. Before joining the medical sector, he had been working in the automotive industry. From 1999 to 2002, he dealt with marketing and sales at DAF Trucks Polska Sp. z o.o. Before that, he had worked for a year for DAF Trucks NV Holland where he was responsible for sales in Poland. In the years 1996–1998, he was a project manager at Elektrim S.A.

Jacek Jakub Rozwadowski was a member of the Management Board in the following companies: Centrum Medyczne Diagnostyka Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (from 2013 to 2014) and “Centrum Teleradiologii ENEL-MED” Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (from 2004 to 2008).

At present, Jacek Jakub Rozwadowski is a member of the Management Board at the following companies: “Centrum Medyczne ENEL-MED” Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (since 2005) and Enel Invest Spółka z ograniczoną odpowiedzialnością, with its registered office in Warsaw (since 2013).
